By accessing or using the MFI Expert website, platform, or related services (“Services”) provided by IMS Guru or its affiliates (“we”, “us”, “MFI Expert”), you agree to be bound by these Terms of Use. If you do not agree, do not use our Services.
MFI Expert provides cloud-based microfinance and core banking software, including solutions for credit-only MFIs, Saccos, hire purchase financing, customer relations, document management, and related capabilities. The scope and availability of specific features may vary and are described in your agreement or on our website.
You must use the Services only in accordance with these terms, applicable law, and any agreement you have with us. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must not misuse the Services, attempt to gain unauthorized access, or use them in any way that could harm us, other users, or third parties.
Our collection and use of personal and other data in connection with the Services are described in our Privacy Policy. By using the Services, you consent to such processing. You are responsible for ensuring that you have appropriate rights and consents to provide any data you submit through the Services.
MFI Expert, IMS Guru, and our licensors retain all rights in the Services, including software, documentation, designs, and content. We grant you a limited, non-exclusive right to access and use the Services as permitted under your agreement with us. You may not copy, modify, distribute, or create derivative works from our Services or content without our prior written consent.
The Services are provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
To the maximum extent permitted by applicable law, MFI Expert and IMS Guru shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services. Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim, or if no such payment applies, one hundred (100) US dollars. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations may not fully apply to you.
You agree to indemnify and hold harmless MFI Expert, IMS Guru, and our officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these terms, or your violation of any third-party rights or applicable law.
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for breach of these terms. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) will remain in effect.
We may update these Terms of Use from time to time. We will post the updated terms on this page and indicate the last updated date. Continued use of the Services after changes constitutes acceptance of the revised terms. If you do not agree, you should stop using the Services.
These terms constitute the entire agreement between you and MFI Expert regarding the Services (except where a separate written agreement applies). If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. These terms are governed by the laws of Kenya, without regard to conflict of law principles.
